FAMUR Group invests in energy storage and electromobility.

FAMUR Group has acquired a majority block of shares in Impact Clean Power Technology – a leading Polish manufacturer of battery systems. This is another step that confirms the implementation of the strategic directions that the company presented in 2021.

With the acquisition of Impact Clean Power Technology – after last year’s investment in the photovoltaic sector – FAMUR is entering new areas related to the green transformation, diversifying its business activities.

Impact Clean Power Technology deals with the production and integration of advanced energy storage systems in lithium-ion cells and plans to develop systems using hydrogen fuel cells.

It is also a supplier of large-scale energy storage for the segment of renewable energy sources and industrial power systems. The company has three main product lines, which include: battery systems for transport and industry, and stationary energy storage for the RES market. The company’s products are used mainly in public transport, as well as in the energy storage sector, applications used in the mining industry and robotics. The company’s clients are Polish and foreign manufacturers of vehicles, including buses, trams, trolleybuses and rail vehicles powered by electric drives, as well as companies from the following sectors: transport, industrial, energy (conventional and renewable energy), railway and telecommunications. These are i.a. Solaris Bus and Coach, whose electric buses use Impact’s battery systems, as well as Alexander Dennis Ltd, Voith SE & Co, Kiepe Electric Carrosserie HESS AG, Skoda Electric and Normet.

The expected revenues of IMPACT in 2022 should exceed the level of PLN 250 million, and in the next 4-5 years it is expected that the annual revenues will increase to min. PLN 1 billion. EBITDA in the period from 2023 to 2024 will be burdened with the costs of dynamically building the scale of operations, while from 2025 the expected EBITDA margin should increase to approx. 10-12%.

The commencement of cooperation with Impact is the next stage in the implementation of the FAMUR Group’s development strategy towards transforming the Company into a holding investing in green transformation and achieving approximately 70% of revenues unrelated to energy coal by 2024. The first step was to enter the large-scale photovoltaic sector and PV solutions for the B2B sector.

The cooperation of TDJ and the FAMUR Group with Impact Clean Power Technology provides for the achievement of synergy effects, among others, in terms of supporting the development of production capacity, both in the short and long term. It will also enable obtaining working capital intended for increasing the scale of operations in the area of battery systems and energy storage, including the diversification of the customer portfolio in Poland, as well as increasing expansion into foreign markets. The purpose of the potential consolidation is also the development of new products.

As part of the transaction, FAMUR acquired a total of 18,475,729 shares of Impact Clean Power Technology, representing 51% of the initial capital and entitling to exercising approximately 59% of votes at the general meeting, for the amount of EUR 59.12 million. The purchase of assets will be financed with funds from the issue of FAMUR Green Bonds. The company issued them in 2021, acquiring PLN 400 million. These funds are intended for investments related to the sustainable development of the FAMUR Group, especially for financing of the development, purchase, construction and operation of investments, which on the basis of and in accordance with the Green Bond Framework, will be classified as the so-called green projects.
